"SWARM" is a project operated by SWARM DAO ("we", "us"). The Service includes swarm.green, app.swarm.green, related subdomains, smart contracts, and (when launched) the SWARM node client and compute API. By accessing the Service you agree to these Terms. If you do not agree, do not use the Service.
SWARM is building solar-powered, sovereign AI-compute datacenters and a distributed GPU network. The Service currently hosts the Founding Round — an on-chain capital raise via a SAFE (Simple Agreement for Future Equity) — and, in a later phase, a distributed compute marketplace. References to the node network describe a future phase that is not currently live.
The Founding Round is offered only to eligible participants and is not available where prohibited by law, including to persons in restricted or sanctioned jurisdictions or where participation would require registration we have not completed. You represent that you are legally permitted to participate, are of legal age, and will comply with all laws (including securities, tax, and AML/KYC requirements) applicable to you. We may require identity verification and may refuse or refund participation at our discretion.
Participation in the Founding Round means entering into a SAFE: an agreement that may convert into equity of the issuing entity at a future priced round, subject to the discount and the maximum valuation cap. A SAFE is not a token, not a cryptocurrency, not a medium of exchange, and confers no rights until and unless it converts. The on-chain receipt (a non-transferable NFT) merely evidences your SAFE; the binding terms are the executed SAFE document. See the Risk Disclosure.
Nothing on the Service is a promise of profit, dividend, return of capital, liquidity, or future value. Any figures, valuations, ownership percentages, milestones, roadmap dates, or projections are forward-looking estimates, not guarantees, and will differ from actual results. Contributions may lose all value.
The referral program pays commissions in ETH to participants who refer others to the Founding Round. By participating you agree: (a) you will not make false, misleading, or unauthorized statements about SWARM, the SAFE, or potential returns; (b) you will comply with all laws governing the promotion of securities and the payment of finders' fees in your and your referrals' jurisdictions; (c) commissions are paid from the round and are not a guarantee of any outcome; and (d) we may modify, suspend, or claw back the program, and withhold commissions for abuse, fraud, or unlawful promotion.
You control your own wallet and private keys. SWARM is non-custodial and never holds, controls, or can recover your keys. On-chain transactions are irreversible; you are solely responsible for sending the correct amounts to the correct contract and for securing your keys.
You must not: use the Service unlawfully; circumvent eligibility or jurisdiction controls; tamper with, exploit, or attack the contracts or infrastructure; launder funds; or misrepresent SWARM. We may restrict access for any breach.
The SWARM name, brand, site, and software are owned by SWARM DAO or its licensors. Open-source components remain under their respective licenses.
The Service is provided "as is" without warranties of any kind. To the maximum extent permitted by law, SWARM DAO and its contributors are not liable for any indirect, incidental, or consequential damages, or for any loss of funds, profits, or data arising from your use of the Service, smart-contract behavior, blockchain conditions, or third-party services.
We may update these Terms; continued use means acceptance. Governing law and dispute resolution will be specified in the executed SAFE and final published terms following legal review.
